Marshall Islands Certificate of Goodstanding 2026: updated electronic certificate design

In 2026 the Republic of the Marshall Islands registry updated the appearance of its Certificate of Goodstanding while retaining electronic issuance. The electronic certificate was launched in 2025 and includes a QR code and unique tracking number that a recipient can use for verification. For an IBC owner, this is a practical improvement: evidence of current company status can be provided more quickly to a bank, counterparty, auditor or professional intermediary without waiting for a paper original. The document is particularly useful when a company undergoes recurring KYC reviews or needs to evidence good standing before a transaction.

What changed

During 2025 the corporate registry introduced the electronic Certificate of Good Standing with digital verification, and in May 2026 presented an updated visual format. The change concerns document delivery and verifiability rather than the creation of a new company type. A Certificate of Goodstanding confirms the company’s registry status at the date of issue subject to the applicable conditions. It does not replace the certificate of incorporation, constitutional documents, ownership records or directors’ resolutions and normally forms one element of a wider corporate and banking KYC package.

The 2025 legal and practical background

The core RMI corporate framework continues to be based on the Associations Law and its Business Corporations Act provisions for IBCs. During 2025 the most visible practical change for routine corporate work concerned digital certificates rather than replacement of the underlying company type. The standard fundamentals remain important: a properly designed structure, a registered agent, maintained corporate records and timely annual maintenance. Depending on the activity, beneficial-ownership, economic-substance and record-keeping requirements should also be assessed because their application depends on the company’s operations and purpose.

What to consider in 2026

During 2026 the main practical priority for an international RMI company remains proper administration of the existing framework and the ability to evidence status and ownership quickly. Before incorporation, owners should define where management takes place, what the IBC will actually do, which assets it will hold and which payment flows it will process. This allows the maintenance programme to follow the real use of the company rather than a generic checklist. If a financial institution requests a recent Certificate of Goodstanding, electronic delivery with QR verification can close the request faster and avoid international courier delays.

Practical use

For a corporate account, the jurisdiction is assessed together with the business profile. A bank or EMI will expect clear contracts, source-of-funds evidence, owner information, counterparty countries and a commercial explanation for using an RMI entity. First Offshore Ltd can calculate a new IBC incorporation or restore an existing maintenance programme, arrange corporate certificates and prepare a banking-compliance file. For an initial quotation we need the activity, ownership structure, payment countries and expected operations. Holding, shipping, investment and contracting structures should each be documented according to their actual commercial purpose.
