Terms of business

These terms apply together with the quotation, invoice, engagement letter and service documents for your order. If an individual engagement term is different, the signed or expressly agreed engagement document takes priority.

1. Parties and services

First Offshore Ltd is a commercial brand used for company formation, ready-made company transfers, corporate administration, accounting, tax coordination and preparation of applications to banks and payment institutions. The service company is named in the quotation or engagement letter. The UK group company is ICG COMMONWEALTH LAW FIRM LTD, company number SC529639, registered office: Exchange Tower, 19 Canning Street, Edinburgh, Scotland, EH3 8EG.

Services are mainly provided to business owners and companies. If you order as a consumer, mandatory consumer rights continue to apply.

2. How the contract is formed

We first receive the requested result and relevant information. We then send a quotation describing the work, price, expected timing and payment procedure. A contract starts when the quotation is accepted in writing, sufficient client information is supplied and payment is made, unless the quotation states another start point.

Email and an agreed messenger may be used to confirm instructions. Any change to the work, price or deliverable must be agreed in writing.

3. Client instructions and information

The client provides accurate information about owners, directors, activities, counterparties, payments and the intended use of the company. We may rely on the documents and instructions supplied. The client must promptly report changes to addresses, ownership, tax residence and business activity.

Instructions from the named director, owner or authorised representative are treated as valid until written notice of a change in authority is received.

4. Due diligence and acceptance of work

Due diligence, KYC/KYB and sanctions screening may take place before and during the service. We may ask for further documents, pause an action or end the engagement where sufficient information is not supplied or an instruction conflicts with law, a professional duty or provider requirements.

We may also decline work because of a conflict of interest, the absence of a suitable local provider or because the request falls outside the agreed professional scope.

5. Fees and payments

The quotation identifies the First Offshore Ltd fee and, where available, government, registered agent, bank, EMI, notary, translation, courier and other third-party charges. External costs and taxes are separate unless the quotation says they are included.

Invoices are payable in the currency and by the date shown. The payer covers bank and payment-provider charges. If a government tariff or the scope changes, we provide an additional quotation before the extra work starts.

6. Timing and third parties

We provide a working plan and estimated timing based on normal registry and provider practice. A registry, bank, EMI, notary, courier or other independent participant reviews documents and makes its own decisions. First Offshore Ltd is responsible for the agreed preparation and communication; the independent participant acts under its own rules.

Timing may extend while client documents, a further provider request, public holidays, registry downtime or events outside the parties’ reasonable control are being resolved.

7. Company and account procedures

Company formation and an account application are separate procedures. A quotation may combine them in one project, compare a bank, European payment institution / EMI or NeoBank and prepare documents for the selected option.

The registry decides on incorporation and the financial institution decides on the account. Third-party tariffs, timing and criteria apply as at the filing date.

8. Confidentiality and personal information

Each party protects confidential business and personal information. Information may be shared where needed for the service with a professional adviser, bank, registered agent or authority entitled to receive it. Personal information is handled under the Privacy notice.

9. Work product and intellectual property

After full payment, the client may use documents prepared specifically for the agreed project. Methods, templates, website design, website text and general materials remain the property of the relevant owner. Website use is explained in Copyright and trade marks.

10. Professional responsibility

We perform the agreed work with reasonable care and skill. The client makes business decisions with regard to its tax residence, contracts and advice from relevant specialists in the countries involved.

Any liability cap is stated in the engagement letter. Nothing excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited.

11. Ending the engagement

Either party may end the engagement by written notice in the manner stated in the quotation. The client pays for completed work and external costs already incurred. After settlement, we provide the agreed documents and information about the next corporate deadlines.

12. Complaints, governing law and courts

Send a complaint to [email protected] with the order reference and a clear description. The responsible specialist reviews it first, followed by company management where needed.

Unless the engagement letter states otherwise, the contract and non-contractual obligations are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to mandatory consumer rights and rules that cannot be changed by contract.
