Belize Companies (Amendment) Act 2025: company restoration and 2026 requirements

The Belize Companies (Amendment) Act 2025 introduced a practical administrative restoration mechanism for companies that have been dissolved. When the statutory conditions are met, the Registrar can restore a company to the register without a full court process, provided the application is made within the permitted period and the required fees, outstanding amounts and penalties are paid. For an international company owner, this can preserve the entity’s legal history and return it to active status. The practical strategy is to check the reason for dissolution, corporate records and arrears first, then determine whether administrative or court restoration applies.

What changed

New section 222A allows an application for administrative restoration within ten years from the date of dissolution or deemed dissolution. An applicant may include a former member, creditor, liquidator, official receiver or the Attorney General. Among the conditions, a licensed person must agree to act as Registered Agent and an updated register containing directors, shareholders and ultimate beneficial owners must be submitted. Once restored, the company is treated as having continued in existence as if it had not been dissolved. This can be particularly valuable where contracts, assets, rights or corporate history are commercially worth preserving.

The 2025 legal and practical background

The Belize Companies Act 2022 remains the core modern company statute, supplemented by later amendments. During 2025 the Financial Services Commission and Belize Companies and Corporate Affairs Registry continued work on modernising commercial legislation and digital procedures. Consultation on a new business-names regime contemplated electronic transactions, clearer registrar powers and ownership information. For an international owner, the direction is clear: maintain a current Registered Agent, accurate internal registers and control information, and process corporate changes before overdue actions accumulate. The 2025 amendment added a practical restoration mechanism to that framework.

What to consider in 2026

In 2026 Belize company maintenance should be considered alongside the current AML/CFT framework and FSC requirements. Having a company does not replace an activity analysis: licensed financial business, ordinary international trading, holding and consulting may face different requirements. In a restoration project, a bank or EMI may also ask for an explanation of the dissolved period, the restoration evidence and current corporate documents. If the old history provides commercial value, restoration preserves continuity; if it does not, a fresh incorporation should be compared on timing, cost and future banking onboarding.

Practical use

First Offshore Ltd can check a Belize company’s status, compare administrative restoration with a new incorporation, calculate statutory and maintenance costs and prepare a corporate KYC package. Before proceeding, it is useful to define where revenue comes from, where customers are located, which assets the entity owns and what type of account is required. For an assessment we need the company number or existing documents, ownership information, activity and payment countries. This allows the decision to be based on the commercial result: preserve valuable history through restoration or create a new entity with a fresh maintenance calendar.
